Welcome to SupaMotor. These Terms and Conditions ("Terms", "Agreement") govern your access to and use of our website (www.supamotor.com), communications, procurement services, and international commercial transactions. This website and its associated services are operated by Yunchi Trading Co., Ltd. ("SupaMotor", "Company", "we", "our", or "us"). By accessing our website, submitting inquiries, or engaging our vehicle sourcing and export services, you ("Client", "Buyer", "User", "Business Partner") agree to be legally bound by these Terms. If you do not agree to these Terms, you must immediately cease using this website and our services.
B2B Eligibility and Nature of Service
SupaMotor operates exclusively as a Business-to-Business (B2B) automotive sourcing and trade export entity. Our services are strictly intended for corporate entities, registered automobile dealers, commercial importers, fleet buyers, and distributors engaged in professional commercial trade. By utilizing our services, you affirm that you are purchasing vehicles and related logistics services for commercial, business, or resale purposes and not as a retail consumer under applicable local consumer protection laws. Users must be at least 18 years of age or the age of legal majority in their jurisdiction to enter into binding business contracts.
Vehicle Sourcing, Quotations, and Orders
All vehicle listings, configurations, specifications, colors, and pricing displayed on our website or digital brochures are for informational purposes only and do not constitute a binding legal offer.
Inquiries and Quotations
Upon receiving a vehicle or fleet inquiry, SupaMotor will issue an official Proforma Invoice or Commercial Quotation. Quotations are strictly time-bound and valid only for the duration specified therein due to fluctuations in market availability, currency exchange rates, and international shipping tariffs.
Order Confirmation
A commercial order is deemed confirmed only when a formal separate Sales Contract or Commercial Purchase Agreement is executed by authorized representatives of both parties, and the structural initial deposit is received in full.
Specification Variations
You acknowledge that vehicle models, configurations, left/right-hand drives, emissions standards, and equipment metrics vary by domestic production batches, market requirements, and model years. It is the Client’s sole responsibility to verify that the sourced vehicle parameters strictly comply with their target import jurisdiction before finalizing an order.
Financial and Payment Terms
Shipping, Shipping Terms, and Export Control
As an international exporter based in Chengdu, China, SupaMotor facilitates automotive transit utilizing standard International Commercial Terms (Incoterms), typically under FOB (Free on Board), CFR (Cost and Freight), or CIF (Cost, Insurance, and Freight) protocols as designated in the specific transaction contract.
Disclaimers of Warranties
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall SupaMotor (Yunchi Trading Co., Ltd.), its directors, affiliates, suppliers, or logistics agents be liable for any indirect, incidental, special, consequential, or punitive damages—including but not limited to loss of commercial profits, business interruption, operational downtime, or port demurrage fees—arising out of or related to the procurement, transit, delayed delivery, or use of the sourced automotive vehicles. Our total liability for any claim arising out of a specific commercial transaction shall not exceed the total amount paid to us by the Client for that specific transaction.
Force Majeure
Neither party shall be liable for any failure or delay in performing its commercial obligations (except for payment obligations) due to events beyond its reasonable control, including but not limited to acts of God, war, riots, government embargoes, changes in import/export trade policies or tariffs, factory supply chain shutdowns, labor strikes, pandemics, port closures, or global maritime shipping crises.
Governing Law and Dispute Resolution
These Terms and all commercial relations between SupaMotor and the Client shall be governed by, and construed in accordance with, the laws of the People's Republic of China, without giving effect to any principles of conflicts of law. Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, shall be settled amicably through business consultation. In the event that a mutual settlement cannot be reached within thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts in Chengdu, Sichuan, China, for formal adjudication.
Changes to These Terms
We reserve the right to amend, update, or completely rewrite these Terms and Conditions at any time to reflect operational, legal, or international regulatory updates. Any changes will be published directly on this website with an updated revision date. Your continued interaction with our platform, inquiry submissions, or contractual engagements following the publication of changes signifies your active acceptance of the updated Terms.
